EHCC Bye-Laws

BYE-LAWS AND RULES OF THE
EHCC (EASTERN HIMALAYAN CHURCH COUNCIL)
UNITED CURCH OF NORTHERN INDIA
(AMENDED COPY)
As amended in the Annual General Meeting held on 19th October, 2005
I – PREAMBLE
  1. The Council accepting the scriptures of the old and new testaments as the inspired word of God, infallible and inerrant rules of faith and duty upholds the doctrine of “the Holiness of God, the Purity of the Church and the Wholeness of the Gospel”.
  2. Notwithstanding the portions amended in this Bye-Laws the Council accepts the Constitution of the United Church of Northern India (UCNI) which is generally known as the Blue Book.
  3. Although the Council seeks to promote co-operation and fellowship with other EvangelicalChurches and denominations in India and abroad it shall not have any relation with the theologically liberal and doctrinally syncretistic organization such as the World Council of Churches (WCC) and its National and Regional branches, (vis-à-vis Blue Book Ch. VIII, Cl. 2. iv, page 62)
II – CONSTITUTION OF THE COUNCIL
(Following Chapter V of the Constitution of the UCNI, the Blue Book)
A.COMPOSITION OF THE COUNCIL
The Council is the regional unit of the United Church of Northern India organized for the purpose of autonomous administration of the Churches or Sessions, within its jurisdiction. It is composed under the following formulation :-
1.All the ordained Ministers as per the Blue Book
2.Elders or Lay-Persons appointed by the Session under the following formula:
Upto 250 Communicant Members - 1
From 251 to 500 Communicant Members-2
From 501 to 750 Communicant Members- 3
From 751 to 1000 Communicant Members- 4

However, attention should be paid to the representation of women.
3.Upto seven persons may be co-opted by the Council with the recommendation of its Executive Committee as resource persons. They must be members of good standing and involved in educational, legal, medical and philanthropical services.

B.POWERS AND FUNCTIONS OF THE COUNCIL
1.The Council shall have all the powers and functions specified in Chapter V of the Blue Book.
2.The Council shall have power to decide policies and principles of administration for smoothly running the Session and the Institutions under its jurisdiction.
3.To appoint heads of the Institutions and Service Agencies with the recommendation of its authorized Boards or Committees.
4.To approve annual reports, accounts and budgets.
5.To co-opt additional members of the Council (See A. 3 a)
6.To form new Committees whenever necessary and to elect their members and to prepare the terms of reference for the New Committee.
7.To negotiate with the Fraternal Organisation(s) regarding the personnel and finance.
8.To receive and consider requests and applications from the Sessions and members recommended by the Sessions within the constitutional provision.
9.To receive designated grants from both the local and foreign sources, and to distribute the same according to the budget allocation approved by the Council.
10.To receive assessments from the Sessions, contributions and fund from sundry sources.
11.To pay salary to the Church Workers and determine their service conditions; and to work out scheme like gratuity, pension, other allowances and retirement benefits.
12.To have an overall supervision of administrative, financial and pastoral functions of the Council and the Sessions.

D.TENURE OF THE OFFICE
Normally, no Officer-Bearers shall be re-elected to the same Office for two consecutive terms. He/She may be re-elected after the lapse of one term.

There shall be an Executive Committee of the Council consisting of the following members to discharge functions assigned to it, See above clause C (I),(2), (3) and (5)

2.Duties of the Executive Committee :
i.The Executive Committee shall meet at least twice a year to transact business during the intervening period before the next Council Meeting.
ii.The Executive Committee shall have power to fill the vacancy in the Council, Standing Committees and Board occurred before expiry of the term on account of death, resignation and expulsion.
iii.The Executive Committee shall appoint workers for any Session or Organisation on mutual consultation and agreement.
iv.The Executive Committee shall ordinarily receive and consider letter, applications and complaints from Sessions and Employees for advice or action as deemed necessary.
v.To revise service condition and remuneration of the Employees from time to time subject to approval of the Council.
vi.To keep the Council informed of the works of various Standing Committees in its Annual General Meeting.
vii.To pass a supplementary budget of the Council whenever it is found necessary.
viii.To appoint Auditors to audit the accounts of the Council an other related Organisations and Institutions.
ix.To look into the possibility and to advise the Council of establishing working relationship with other compatible Council in the region.

3.To conduct, colloquy and recommend candidates to the Council or its Executive Committee for ordination as Ministers.
4.To receive and consider requests from Sessions regarding the appointment of Minister and to recommend the action to this effect to the Council or its Executive Committee.
5.To arrange colloquy for certain Lay-Leaders who have not gone through theological trainings; and to examine and recommend their case to the Council or the Executive Committee for ordination.
5.Committee on Property and Finance
The following shall be the composition and duties of the Committee on Property and Finance :
a.Composition : The Committee shall be composed of the following Members :
1.Moderator, General Secretary and Treasurer with their corresponding portfolios

b.Duties :
1.To identify and protect both movable and immovable property of the Church/Sessions within the Council; and to maintain an authentic Property Register in consultation with UCNI Trust Association.
2.To advise the Council/Sessions to utilize the property owned or occupied by it/them in the best and beneficial way.
3.To advise and help the Council or Sessions to turn the Property into a good asset and source of income.
4.To see and take appropriate action where the Church Property has been misused or encroached by anybody.
5.To advise the Council or Executive Committee regarding the purchase and development of Property for the mission of the Church.
6.To prepare budget of the Council for the coming financial year from 1st April to 31st March.
7.To prepare annual financial report to be placed before the ensuing Council Meeting.
8.To receive and consider requests for fund from Sessions, Standing Committees, and Boards and to allocate it on priority and availability basis.
9.To fix assessments for Sessions and other Institutions towards the Central Fund of the Council.
10.To prepare new salary scales and other rates of allowances and retirement and other benefits of the employees of the Council whenever it is so directed by the Executive Committee.
11.To appoint internal auditors to check the accounts of all the Standing Committees and Institutions under the Council; and to get a copy of the statement to incorporate the same in the Annual Finance Report to be placed before the Council Meeting.

6.Women’s Organisation

Recognising the significant role played by the Christian Women in the life and mission of the local Church the Council permits the Women Organisation to be organized under its Constitution approved by the Executive Committee. The Organisation shall decide its own Motto and define its own goal to contribute meaningfully to the mission of the Church in general. It will aim to develop the otherwise latent multifarious talents of its members to use for the edification of the Church. The organization has been given due representation in the decision making body of the Council.
7. Committee on Spiritual Revival and Renewal
a.Composition : The Committee shall be composed of the following Members :

3.To plan and implement house to house and person to person Gospel Contact in every village.
4.To encourage Bible Studies & Prayer Meetings.
To publish or provide devotional materials to help each family to have systematic family Bible Classes.

Composition and functions as per the Bye-laws of the said Committee-Committee on Christian Endeavour within the EHCC hereinafter referred as Eastern Himalayan Church Endeavour shall be organized under its own universal constitution accepted by the Central Committee of EHCE and approved by the EHCC. Representation in the Council for the society shall be provided by the EHCC.

1.Board of Theological Education : The Board shall consist of the following members :

b. Duties :
1)To advise the Council to develop a Centre for Theological Education within the Council Area.
2)To encourage Ministers and Lay Persons to acquire Theological Education through correspondence and contact programmes.
3)To arrange and enable Ministers to attend Theological Seminaries during their Sabbational Leave.
4)To prepare curriculum for Catechist, Colloquy and Presbyter course for interested Lay Persons.
5)To organize Theological Forums from time to time for Ministers, Elders, Deacons and Lay Leaders to discuss issues which seem to confront the Biblical Christian faith; and to keep them informed of the latest developments in theological emphasis.
6)To prepare literature to caution members against cults.
7)To publish or cause to be published theological literatures in regional languages.
2.Board of Missiological Tasks :

1)To explore the areas of Missionary enterprise both in and outside country.
2)To encourage, interview, select and appoint young people to work as Missionaries.
3)To negotiate with other missionary agencies for co-operation or partnership in Mission.
4)To set aside Pentecost Sunday and Mission Sunday and make programmes to observe it in every Church to raise fund for missionary projects. Also to educate the Church about its missiological task based on the Great Commandment and on the event of the Pentecost.
5)To publish periodicals highlighting the need, challenge and joy of missionary commitment.
3.Board of Social Service and Education:
a.Composition :
1)Moderator, General Secretary and Treasurer with their corresponding portfolios
2)Three elected Lay Members
3)One representative from Women Organisation
4)One representative from Youth Ministry

b. Duties :
1)To start, run and manage schools, colleges, dispensaries, hospitals and libraries wherever necessary and feasible.
2)To start, run and manage Orphanages, Sponsorship programme, Adult Education programme, Old People’s Home and CounselingCenters for vocational and career guidance, narcotic, alcoholic and social delinquents.
3)To negotiate with other missionary agencies for co-operation or partnership in Mission.
III - QUORUM
The quorum for all meetings of Council Committees shall require 51 % of the total members.

V – MEMBERSHIP
a.The signatories to the Memorandum of Association shall be the original membership of the Society.
b.The Council may appoint additional members who have attained the age of eighteen years and who in the opinion of the Council are members of good standing and interest in advancement of the objects of the Society.
VI – CESSATION OF MEMBERSHIP
Any member shall cease to be a member :
a.On the acceptance of his/her resignation from membership.
b.On his/her becoming insane or insolvent.
c.On the conviction of offence like immorality, theft, murder and apostasy, drunkenness and others.
VII – DISSOLUTION
a.The Society may be dissolved if three fourth of the members passes a resolution for such dissolution at a Council Meeting convened for this purpose.
b.The Society may also be dissolved under rule 25, 26 and 27 of the West Bengal Societies Registration Act, 1961.
VIII – AMENDMENT TO THE BYE-LAWS
The Bye-Laws of the Council shall be amended under the following procedures :-
a.Any Session or Standing Committee or five members of the Council may propose amendment to this Bye-Laws in writing to the Council/General Secretary. He will then place the same before the Executive Committee for consideration.
b.Then the Executive Committee shall circulate the amended clause (s) to all the members 30 days before the day of voting. The voting may be taken either by post or by person according to the instruction of the Executive Committee.
c.The Bye-Laws shall be amended on the approval on the approval of 2/3 members of the Council. The amendment shall come to effect only after the Executive Committee or the Council makes note of it in the minutes and officially notifies all the members.
